On 26^th February and 28^th February 2025, AS APF Holdings has received the notifications of Manager`s closely related person J.A. Investment Holdings, SIA on transactions with securities issued by company. Detailed information can be found in the attached documents.

The transactions carried out at Nasdaq Riga stock exchange were executed on February 26, 2025, February 27, 2025, and February 28, 2025, while the transaction outside trading venue was executed in accordance with the share purchase option agreement outlined in the AS APF Holdings initial public offering (IPO) prospectus. The agreement, concluded on July 3, 2023, between AS APF Holdings shareholders SIA “J.A. Investment Holdings” and Omni Industries B.V., grants SIA J.A. Investment Holdings the right to exercise the share purchase option within the specified period (from December 1, 2023, to December 1, 2027) for 324,870 Omni Industries B.V. shares at a price of €15.39 per share.

The shares of AS APF Holdings are admitted to trading on Nasdaq Baltic First North Market.
