On December 23, 2025 Nasdaq Tallinn decided to change the grounds of observation status applied to the shares of AS Ekspress Grupp (EEG1T, ISIN code: EE3100016965).
The observation status applied on November 7, 2025 is removed as the circumstances which led to its application have ceased to exist. The voluntary takeover bid has concluded and the issuer has disclosed the results of the voluntary takeover bid.
As of December 23, 2025, the observation status has been applied in accordance with the grounds set out in section 3.5.4.5 of the "Surveillance" part of the Rules. Based on the fact that the offeror HHL Rühm OÜ will acquire 96.12% of Ekspress Grupp shares as a result of the takeover bid and has announced its intention to apply for the takeover of the remaining shares and the delisting of the shares, the exchange considers that the delisting of the issuer's securities within the next six months is possible.
The purpose of applying observation status is to alert the market participants.
