UAB “PRO BRO Group” informs investors that the information published in the public domain regarding one of the “PRO BRO Express” network car washes is related to a former franchisee of UAB “Švaros broliai”, UAB “Express PRO K28”, and is not related to UAB “PRO BRO Group” itself.
UAB “Express PRO K28”, which held the “PRO BRO Express” franchise rights, has not been operating since the end of July 2025. In October 2025, at the initiative of UAB “Švaros broliai”, the franchise agreement was terminated, along with all other agreements related to the franchise, as the company had systematically failed to comply with the operational and quality standards set out in the franchise agreement and had breached material contractual terms.
No decision has yet been made regarding when and how service provision will be resumed at the car wash located on Kretingos Street in Klaipėda.
In public comments, the representative of UAB “Express PRO K28” has tendentiously misrepresented the operating model and the principles of the franchise, thereby causing reputational damage to the PRO BRO franchise network and the franchisor.
Under the franchise business model, full responsibility for the operation of the business, its results, and any benefits derived from it rests with the franchisee companies. Accordingly, they also bear all risks related to the business and its performance, whether in the case of success or failure. Business results depend on a number of factors, including the franchisee’s involvement in business management, compliance with quality standards, and other factors.
It should be noted that the performance of the entire “PRO BRO Express” tunnel car wash network is assessed positively. In 2025, more than 5 million cars were washed in Lithuania and Latvia, representing an increase of nearly 19 percent compared to 2024.
In the assessment of the management of UAB “PRO BRO Group”, this dispute with one of the “PRO BRO Express” franchisees has no impact on the Group’s financial stability. UAB “PRO BRO Group” will continue to fulfil all of its obligations to bond investors in a timely manner.
