INDEXO Bank is planning to establish a programme for the issuance of subordinated bonds (the “Bond Programme”) to support the growth of its loan portfolio and strengthen the Bank’s overall capital ratio. The Bond Programme is intended to enable the issuance of bonds in several series over the next 12 months. The issuance and contemplated public offering of the first series of bonds is expected to take place in Q2 2026, subject to market conditions, investor demand and the approval of the prospectus by the Bank of Latvia.
Under the Bond Programme, INDEXO Bank intends to issue unsecured subordinated bonds in an aggregate nominal amount of up to EUR 10,000,000, with a maturity of 10 years from the issue date, with the right to redeem the bonds early after 5 years from the issue date subject to prior regulatory approval.
The Bank intends to apply for the admission to trading of the bonds on the Baltic Bond List of Nasdaq Riga. According to the Bank’s current plans, the public offering of the bonds will be carried out in Latvia, Estonia, Lithuania, subject to Bank of Latvia approval and the fulfilment of passporting requirements.
The Bank will separately announce the approval of the prospectus and the commencement of the public offering, including subscription terms.
The issuance forms part of the Bank’ s ongoing capital management strategy and is aimed at strengthening its total capital ratio and overall capital structure in line with regulatory requirements and internal targets.
This announcement does not constitute an offer or an invite to acquire bonds. Any public offering of the bonds will be made only on the basis of a prospectus approved by the Bank of Latvia.
